DEALERSHIP SWEEPSTAKES “PROMOTION” 2011 OFFICIAL RULES

NO PURCHASE OR PAYMENT IS ;NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. ELIGIBILITY: Open to legal residents of the 50 United States and the District of Columbia who are 18 years of age or older. Employees, contractors, directors, and officers of Kawasaki Motors Corp., U.S.A. (“Sponsor”), its parent, subsidiary and affiliated companies, and the web design, advertising, fulfillment, judging, and promotion agencies involved in the administration, development, fulfillment, and execution of this Promotion (collectively, “Promotion Parties”), and the immediate family members of each such person (spouse, parent, child, sibling, grandparent, and spouse of “step” of each), and those living in the same household of each such person (those persons whether related or not who live in the same residence for at least 3 months during the 12-month period preceding the start date of the Promotion) are not eligible to enter or win a prize (even if such person was eligible at the time of entry).

2. HOW TO ENTER: The Promotion begins at 12:00:00 am Pacific Time (“PT”) on 4/1/11 and ends at 11:59:59 pm PT on 7/31/11 (“Promotion Period”). Visit a participating Kawasaki dealership with a Kawasaki Good Times™ Sales Event game piece that will be distributed via magazine inserts, direct mail and handouts at various events. A full list of participating dealers is available at kawasaki.com/win. Obtain a “take-one” from the participating dealer. With both your “take-one” and your game piece, visit www.kawasaki.com/win and follow the directions to enter. You will be required to enter the dealership code from the “take-one” and the code from your game piece on your entry form, and you will be entered into the drawing for that dealership.

To request a game piece, while supplies last, and a copy of the Official Rules, text WIN using an SMS-enabled device to 868727 or visit www.kawasaki.com/win and follow the directions to request a game piece. Game pieces will be sent via regular mail. Limit one (1) game piece request per person per day. Requests must be received by 11:59:59 pm PT on 7/22/11. Automated methods are prohibited and any use of automated devices will cause disqualification. Any Participant who attempts to enter with multiple email addresses under multiple identities or uses any device or artifice to register/play multiple times will be disqualified and forfeits any and all prizes won, in Sponsor’s sole discretion.

3. PRIZES/APPROXIMATE RETAIL VALUE (“ARV”): One (1) Grand Prize per participating dealership: a Ninja® 250R, ARV: $3,999 or a Bayou® 250, ARV: $3,599. Prize awarded is at the sole discretion of the participating dealership. Odds of winning will depend upon the total number of eligible entries received for each dealership. Grand Prize will be delivered with standard equipment; any upgrades and options are at the sole expense of the Winner. Color, package, and other prize specifics to be determined by Sponsor and are subject to availability. Sponsor does not make, nor in any manner is responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prize including but not limited to its quality, fitness for purpose or mechanical condition, except for the standard warranty provided with the motorcycle. Prize will be delivered solely with the express limited warranties set forth in the Owner’s Guide, which warranties shall run for the term set forth in the Owner’s Guide. Winner must have proof of a valid driver’s license and evidence of any required insurance to take delivery of Grand Prize; failure to show same may result in prize forfeiture. Winner will be responsible for all title, license, insurance, and registration fees required in claiming the prize, applicable taxes as well as all other expenses relating to the receipt and use of prize, including any travel and transportation costs associated with taking delivery of the prize. All costs and expenses not specifically stated herein as being awarded are the sole responsibility of the Winner. Winner will be provided instructions to obtain his/her vehicle at the participating dealership. Winner must take delivery of prize within 30 days of notification that the dealer has received prize, or prize may be forfeited. Delivery of the prize is subject to manufacturer, distributor and dealer manufacturing, production and delivery schedules.

4. RANDOM DRAWINGS: One (1) winner per participating dealership will be selected in a series of random drawings from all eligible entries received for each dealership. Drawings will be conducted on or about 8/4/11, by an independent judging organization (“Judges”), whose decisions shall be final and binding on all matters relating to the Sweepstakes. Potential winners will be notified by mail. By participating, entrants agree to abide by and be bound by these Official Rules and the Judges’ decisions.

5. WINNER VERIFICATION: Potential Grand Prize winners are subject to verification of eligibility and compliance with these Official Rules. Potential Grand Prize winners will be required to sign and return an Affidavit of Eligibility and Liability/Publicity Release (except where prohibited) within seven (7) days of attempted notification or prize will be forfeited in its entirety. Failure to provide all required information and a signature on the documents will result in forfeiture of winner’s right to claim a prize. Potential Grand Prize winners may be subject to a background check before the prize will be awarded; if a potential winner has been convicted of a felony or any other crime that would reflect negatively on the Sponsor, the potential winner may be disqualified and the prize will not be awarded. In the event of noncompliance with these Official Rules, or if prize notification or prize is returned as undeliverable, the prize will be forfeited. Any prize notifications returned as undeliverable will be forfeited and an alternate may be selected.

6. GENERAL CONDITIONS: Sponsor’s decisions shall be final and binding on all matters relating to the Promotion. Winners are solely responsible for any taxes on their respective prizes, and Grand Prize winners will be issued an IRS Form 1099 for the ARV of the prize. No cash equivalent or substitution of prize is offered, except at the sole discretion of the Sponsor. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute prize with another prize of equal or greater value. No transfer of prize. By participating, entrants agree to these Official Rules and Sponsor’s Privacy Policy (available at www.kawasaki.com/win), which are final and binding in all respects. Unclaimed prizes will not be awarded. If a winner is an eligible minor in their state of residence, the prize will be awarded to the eligible minor’s parent or legal guardian who must sign and complete the Affidavit of Eligibility and Liability/Publicity Release on the minor’s behalf. If for any reason the Promotion is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, Sponsor reserves the right, at its sole discretion, to disqualify any individual who is responsible or who tampers with the entry process, and to cancel, modify or terminate the Promotion. In the event of cancellation, Sponsor will award all prizes not yet awarded in a random manner to be determined by Sponsor. This Promotion is offered only in the United States and is governed by the laws of the state of California. Entrants consent to jurisdiction and venue in the federal and state courts in Orange County, California, and agree that all claims must be resolved exclusively in the federal or state courts in Orange County, California.

7. LIMITATIONS OF LIABILITY AND RELEASE: No more than the advertised number of prizes will be awarded. If because of error (or for any other reason) there are more game prize claims than prizes offered, a random drawing will be held from among all eligible claimants in such prize category to award only the number of prizes in such prize category as stated in these Official Rules. No liability or responsibility is assumed by Sponsor or Promotion Parties resulting from user’s participation in, attempt to participate in the Promotion, or download of any information in connection with participating in the Promotion. No responsibility or liability is assumed by the Sponsor or Promotion Parties for technical problems or technical malfunction arising in connection with any of the following occurrences, without limitation, which may affect the operation of the Promotion: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless, or Internet connectivity, or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any email transmissions to be sent to or received; lost, late, delayed or intercepted email transmissions; inaccessibility of the Web Site in whole or in part for any reason; traffic congestion on the Internet or Web Site; unauthorized human or non-human intervention in the operation of the Promotion, including without limitation, unauthorized tampering, hacking, theft, virus, bug, worm; or destruction of any aspect of the Promotion. Sponsor is not responsible for any typographical errors in the announcement of prizes or these Official Rules, or any inaccurate or incorrect data contained on the Web Site. Use of Web Site is at user’s own risk. Sponsor and the Promotion Parties are not responsible for any personal injury or property damage or losses of any kind that may be sustained to user’s or any other person’s computer equipment resulting from participation in the Promotion, use of the Web Site or the download of any information from the Web Site. By participating in the Promotion, the entrant thereby releases Sponsor and the Promotion Parties from any and all claims, damages or liabilities arising from or relating to such entrant’s participation in the Promotion. As a condition of entering, entrants (or their parent or legal guardian if an eligible minor) agree (and agree to confirm in writing): (a) to release the Promotion Parties from any and all liability, loss or damage incurred with respect to the awarding, receipt, possession, and/or use or misuse of any prize, including any traveling related thereto; (b) under no circumstances will entrant be permitted to obtain awards for, and participant hereby waives all rights to claim punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs. Except if winner is a resident of Tennessee, or where prohibited by law, by accepting prize, winner grants permission for Sponsor and those acting under its authority to use his/her name, photograph, voice and/or likeness, for advertising and/or publicity purposes, in any and all media now known or hereinafter invented without territorial or time limitations and without additional compensation.
